Real Estate Transactions
South Florida's real estate market rewards speed and precision. Hendrix Law provides end-to-end transactional counsel for acquisitions, dispositions, and exchanges — ensuring every deal is structured to protect your position, minimize risk, and close on your timeline.
Florida's real estate market — and South Florida's in particular — operates at a pace that demands legal counsel that can move quickly without sacrificing precision. From Miami's urban core and Brickell's financial district to the waterfront communities of Palm Beach County and the growing commercial corridors of Martin County, Hendrix Law has guided clients through the full spectrum of real estate transactions across the state.
Whether you are acquiring a single commercial property, assembling a multi-parcel development site, or disposing of a portfolio of assets, the quality of your legal counsel directly affects the outcome. We bring a disciplined, deal-focused approach to every transaction — identifying risks early, negotiating terms that reflect market reality, and keeping your deal on track from letter of intent through closing.
Our real estate transaction practice covers the full lifecycle of property acquisitions and dispositions, including:
The purchase and sale agreement is the foundation of every real estate transaction. It defines the price, the timeline, the conditions, and — critically — the allocation of risk between buyer and seller. A poorly drafted agreement can expose you to liability, delay your closing, or leave you without recourse when problems arise.
We draft and negotiate purchase agreements that are precise, enforceable, and tailored to the specific dynamics of your transaction. We pay particular attention to representations and warranties, due diligence contingencies, title and survey requirements, closing conditions, and remedies for default — the provisions that matter most when a deal encounters friction.
Thorough due diligence is the most important investment a buyer can make. In Florida, that means reviewing title commitments and exception documents, analyzing surveys for encroachments and easements, confirming zoning compliance and entitlement status, reviewing existing leases and service contracts, and assessing environmental conditions — among many other considerations.
We coordinate and manage the due diligence process, working alongside your engineers, environmental consultants, and financial advisors to ensure that every material issue is identified and addressed before you are committed to close. When problems surface — and they often do — we advise on your options: renegotiating price, requiring remediation, obtaining title insurance endorsements, or, when necessary, exercising your right to terminate.
Section 1031 of the Internal Revenue Code allows real estate investors to defer federal capital gains tax by reinvesting sale proceeds into qualifying replacement property. For Florida investors — who face no state income tax but significant federal exposure on appreciated assets — a properly structured exchange can preserve substantial capital for reinvestment.
The rules are strict. You have 45 days from closing to identify replacement properties and 180 days to close on them. The exchange must be structured before the sale closes, and proceeds must flow through a qualified intermediary. We advise on exchange eligibility, structure the transaction to satisfy IRS requirements, coordinate with your intermediary and tax advisors, and document the replacement property acquisition — ensuring your exchange is completed correctly and your deferral is protected.
Our clients include individual investors, family offices, private equity sponsors, developers, and institutional buyers and sellers active throughout Florida's most dynamic real estate markets. We regularly advise on transactions in Palm Beach County — including the coastal, urban and suburban areas, Jupiter, West Palm Beach, and Delray Beach — as well as Broward County, Miami-Dade County, and the growing markets of Martin County and the Treasure Coast.
We understand the local market dynamics, the regulatory environment, and the practical realities of getting deals done in South Florida. That local knowledge, combined with sophisticated transactional skills, is what we bring to every engagement.
